REAL ESTATE SALE TERMS:

Bidding Procedure: The property(s) will sell by the Multi-Parcel Auction method with Live and Online bidding available to the highest bidder(s), subject to confirmation of the Seller.
Acceptance of Bid Prices: The successful onsite bidder(s) will sign a Confirmation of Sale Agreement at the auction site immediately following the close of bidding. Successful online bidder(s) will sign a Confirmation of Sale Agreement within 24 hours after the Auction. Bidding IS NOT CONDITIONAL UPON FINANCING.
Down Payment: Purchaser(s) will deposit $60,000 for Tract 1 and $5,000 each for Tract 2 ($65,000 total) as down payment with Auction Company upon signing of Confirmation of Sale Agreement. Onsite Purchaser(s) will remit deposit date of auction. Online Purchaser(s) to deliver to Auctioneer via overnight mail, wire transfer (plus $35 wiring fee), or personally delivered funds the down payment within 24 hours of the auction's completion. Personal delivery may be made at 200 Parkview Lane, Cedarville, OH.
Real Estate Taxes: Taxes will be prorated to date of closing using short proration method. Purchaser(s) will pay any Current Agricultural Use Valuation recoupment fees due to change in land use, if applicable.
Closing Date: On or before May 9, 2025. Purchaser(s) will pay customary portion of closing costs at closing. Closing will be conducted by City Title Agency, Springfield, Ohio, unless agreed in writing by all parties.
Possession: Date of closing with farm tenant’s rights reserved to maintain & harvest 2025 crops.

2025 Tenancy & Cash Rent: The farm is rented for the 2025 crop year, and the purchaser will receive 100% of the cash rent totaling $17,110.50. Half will be credited to the purchaser at closing, with the remaining balance payable by the tenant by November 15, 2025. If Tracts 1 & 2 sell separately, rent will be prorated as follows: Tract 1: $15,406.87 and Tract 2: $1,703.63.
Agency: Sheridans LLC and its representatives are Exclusive Sales Agents for the Seller.
